Companies must keep minutes of general meetings at the registered office for inspection by members. The Chairperson signs the minutes and they are prima facie evidence of what occurred at the meeting. The Companies Act 2006 makes it possible for private companies not to hold an AGM (unless their articles demand otherwise), so this minute is just for the approval of the accounts at a meeting of the directors.
